Welcome to EZ Apply! These Terms of Service (“Terms”) govern your use of our website and services, including the process of obtaining a Certificate of Good Standing through our platform. By using our website or services, you agree to these Terms. If you do not agree with any part of these Terms, please discontinue use of our services immediately.

1. Services Provided

EZ Apply specializes in assisting businesses in obtaining Certificates of Good Standing from state authorities. We act as an intermediary between your business and the relevant state agency.

Certificate of Good Standing

A Certificate of Good Standing is a document issued by a state agency confirming that a business is legally registered and, in certain circumstances, that the business is compliant with state regulations. However, EZ Apply cannot guarantee that the certificate issued by the state will confirm your business’s good standing if your business:

  • Has unresolved tax liabilities
  • Is not compliant with state or local regulations
  • Has failed to file required reports or documents
  • Is subject to other legal or financial issues that affect its standing

Please ensure that your business complies with all state and local requirements before requesting a Certificate of Good Standing through our platform.

2. Order Processing

When you place an order for a Certificate of Good Standing, EZ Apply will submit the necessary request to the relevant state agency on your behalf within 2 to 3 business hours. The processing time for obtaining the certificate varies by state and is outside of our control.

Cancellation Policy

  • You may cancel your order before the certificate has been delivered. Once the state begins processing your request, cancellation may not be possible.
  • If the state has not yet issued the certificate, we will offer a full refund for cancellations.
  • Once the state has delivered the certificate, the order is considered complete, and no cancellations or refunds will be available.

3. Fees and Payments

All fees for our services are clearly outlined on our website at the time of purchase. By using our services, you agree to pay the specified fees for your requested service. All payments are processed securely through Authorize.Net, our third-party payment gateway. EZ Apply does not store any personal financial information.

Refunds are only available in accordance with our Cancellation Policy (see Section 2).

4. Delivery of Certificate

Once the state has issued the Certificate of Good Standing, we will deliver it to you in the format of your choice (digital or physical copy). Delivery times may vary based on state processing times and method of delivery.

EZ Apply is not responsible for delays caused by state agencies, courier services, or other third-party entities.

5. User Responsibilities

By using our services, you agree to:

  • Provide accurate and complete information when submitting an order
  • Ensure that your business is compliant with applicable state and local laws, including tax obligations, annual filings, and registered agent requirements
  • Regularly check for communications from EZ Apply regarding your order status

Failure to provide accurate information or meet your compliance obligations may result in delays or rejection of your certificate by the state agency.

6. Limitation of Liability

EZ Apply acts solely as an intermediary between you and the state agencies that issue Certificates of Good Standing. We do not have control over state processes, nor do we guarantee the outcome of any certificate request. We are not liable for:

  • The accuracy or validity of any Certificate of Good Standing issued by the state
  • Delays caused by state processing times, holidays, or unforeseen circumstances
  • The loss or misdelivery of certificates by mail or other delivery services
  • Any penalties or fees resulting from your business’s non-compliance with state or local regulations

In no event shall EZ Apply, its owners, employees, or affiliates be liable for any indirect, incidental, punitive, or consequential damages arising from the use of our services.

7. No Legal or Tax Advice

EZ Apply provides document filing services, but we do not provide legal, tax, or financial advice. It is your responsibility to consult with a licensed attorney or tax professional to ensure your business complies with all applicable laws and regulations.

8. Right to Refuse Service

We reserve the right to refuse service to anyone at our discretion. In cases where we refuse service, any payments made will be refunded unless the state has already issued the certificate.

9. Privacy Policy

Please review our Privacy Policy, which governs how we collect, use, and protect your personal information. By using our services, you consent to the collection and handling of your data in accordance with our Privacy Policy.

10. Your Rights to Data Deletion

You have the right to request that we delete any personal information we have collected from you, in accordance with state and federal laws such as the California Consumer Privacy Act (CCPA), California Privacy Rights Act (CPRA), Virginia Consumer Data Protection Act (VCDPA), General Data Protection Regulation (GDPR), and other Right to Delete laws. 11. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the courts in Florida.

EZ Apply reserves the right to update or modify these Terms at any time without prior notice. Any changes to the Terms will be posted on this page with an updated Effective Date. Your continued use of our services after the changes have been posted constitutes your acceptance of the revised Terms.
